Company Name Change
As of my last update in September 2021, “Paperfiling” generally refers to the traditional method of submitting physical documents and paperwork to the relevant government authorities or agencies. When it comes to changing the name of a company, the process typically involves the following steps:
1. Board Resolution: The board of directors must pass a resolution approving the change of the company’s name. The resolution should be recorded during a board meeting or through a written resolution signed by the directors.
2. Availability of Name: The company must check the availability of the proposed new name with the relevant Registrar of Companies (ROC) or the company registration authority to ensure that the desired name is not already taken or too similar to an existing company’s name.
3. Application for Name Approval: The company needs to file an application with the ROC or the relevant authority for name approval. The application should include the proposed new name, along with the reasons for the name change.
4. Name Approval: The ROC or the authority will review the application and approve the new name if it complies with the naming guidelines and is not in conflict with any existing names. If the proposed name is not approved, the company may need to submit alternative names for consideration.
5. Passing of Special Resolution: Once the new name is approved, the company must pass a special resolution at an Extraordinary General Meeting (EGM) to change the name. The resolution should be passed by the shareholders with the required majority.
6. Publication of Notice: In some jurisdictions, the company is required to publish a notice of the name change in a local newspaper and the official gazette. This step is to inform the public about the name change.
