As of my last update in September 2021, “Paperfiling” generally refers to the traditional method of submitting physical documents and paperwork to the relevant government authorities or agencies. When it comes to making alterations to the Memorandum of Association (MOA) and Articles of Association (AOA) of a company, the process typically involves the following steps:
1. Board Resolution: The board of directors must pass a resolution approving the proposed alterations in the MOA and AOA. The resolution should be recorded during a board meeting or through a written resolution signed by the directors.
2. Shareholder Approval: The proposed alterations in the MOA and AOA must be approved by the shareholders through a special resolution passed at an Extraordinary General Meeting (EGM). The special resolution should be passed with the required majority as per the company’s regulations and local laws.
3. Drafting of Resolution and Altered MOA/AOA: Based on the board and shareholder approvals, the company prepares the necessary resolution and drafts the altered MOA and AOA incorporating the proposed changes.
4. Application to Registrar of Companies (ROC): The company files an application with the ROC or the relevant regulatory authority to seek approval for the alteration in the MOA and AOA. The application should include the altered MOA and AOA, along with supporting documents, as required by the authority.
5. Public Notice (If Required): In some jurisdictions, the company may be required to publish a public notice in newspapers about the proposed alterations, allowing objections from the public if any.
6. Registrar’s Approval: The ROC reviews the application and supporting documents to ensure compliance with the relevant laws and regulations. If satisfied, the ROC approves the alterations and issues a certificate of approval.
